These Wave Cargos product terms and conditions (this “Agreement”) contains the terms and conditions that govern Your access to and use of the Products (as defined below) under the law of the state of New Jersey & Georgia and the federal law of the United States of America. And this is an agreement between Wave USA Inc d.b.a Wave Cargos (also referred to as “DMS,” “Wave Cargos – DMS,” “We,” “Us,” or “Our”) and You or the entity You represent (“You” or “Your”). Collectively, You and Wave Cargos are the “Parties.” This Agreement takes effect when You click an “I Accept” button or check box presented with these terms or, if earlier, when You use any of the Products (the “Effective Date”).

Authority to Enter into the Agreement
You represent to Us that You are lawfully able to enter into contracts (e.g., You are not a minor). If You are entering into this Agreement for an entity, such as the company You work for, you represent to Us that You have legal authority to bind that entity.

Welcome to Wave Cagos, Wave Cargos – DMS® (“Sites”) (“App”) provided to you by Wave USA Inc d.b.a “Wave Cargos”. The Site and any related services, modules, functions, software or platforms (collectively, “Services”) were created in order to provide you a much easier way to move and manage more freights. These Wave Cargos Terms and Conditions (“TaC”) constitute a set of rules by which we operate such Services.

DESCRIPTION OF SERVICE

Wave Cargos is a license freight forwarder / broker and carrier company. Whose focus is to help shippers and drivers move loads easy, fast and efficiently across North America. With our state-of-the-art technology, we provide drivers, owners and shippers a way to manage & track their loads. Our service(s) may include certain communications from our dispatchers/administrative staffs, such as service announcements, administrative messages, loads information’s and these communications are considered part of working relation. By subscribing to the Service, you consent to receiving these communications from us and you will not be able to opt out of receiving them other than by cancelling your account and/or terminate your agreement with us. By using our service, you understand and agree that the Service is provided “AS-IS” and that Wave Cargos assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service and that access may involve third-party fees (such as Internet service provider or airtime charges). In addition, you must provide and are responsible for all equipment necessary to access the Service.

SUBSCRIBER REQUIREMENTS

  1. Subscriber is of the age of majority (18);
  2. Subscriber is or represents a bona fide owner-operator, carrier, shipper, freight broker, 3PL, freight forwarder or trucking industry consultant.
  3. Subscriber’s access to Wave Cargos service(s) is for commercial purposes only and is limited to tracking and manage loads/trucks, document management, rate lookup and communication through the use of our freight matching service and the other services offered on the platform. Subscriber may not use our platform for analytics or data mining. Subscriber hereby represents and warrants that Subscriber is not a consumer pursuant to the Consumer Protection Act.
  4. Subscriber’s commercial purpose in accessing and using Wave Cargos is not to directly or indirectly compete with or gain competitive advantage in relation to Wave Cargos.
  5. Subscriber shall be responsible for maintaining password and account information confidential. Subscriber will not allow any third-party to use subscriber’s password and/or username to access subscriber’s account without the express written consent of Wave Cargos and subscriber shall be liable for any damages, claim, recourse or action resulting from any third-party use of a subscriber account.
  6. Subscriber shall use the Service as in accordance with all applicable laws and shall not engage in any fraudulent practices.
  7. Subscriber shall not engage in scraping or using bots or scripts on Wave Cargos, even if undertaking these efforts for internal use only.

License to Use Our Services. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services—subject to the Terms and the following restrictions in particular:

  • Don’t Use Our Service to Break the Law. You agree that you will not violate any laws in connection with your use of the Service. This includes any local, state, federal and international laws that may apply to you. It’s your responsibility to obtain any permits or licenses and have proof of ownership or receipts if required; You may not use. 
  • Agreement to Receive Electronic Communications. By using our Service, you’re agreeing to us sending you information electronically (by email, text messages, in-app messenger, etc.) instead of mailing your paper copies and that your electronic agreement is the same as your signature on paper. 
  • Don’t Try to Harm Our Systems. You agree not to interfere with or try to disrupt our Services, for example by distributing a virus, other harmful computer code, or any activity that provides an excessive burden on the Services, or otherwise negatively affects the enjoyment of the Services by other Users. 
  • Don’t Steal Our Stuff. You agree not to crawl, scrape, or spider any page of the Services or to reverse engineer or attempt to obtain the source code of the Services.  

Should user violate any provisions for subscriber qualification, Wave Cargos may terminate the user account without notice or warning, in addition to being subjected to any and all other legal remedies that may be available under these TaC, including but not limited to civil and/or criminal actions under provincial and/or federal law. Should Wave Cargos be forced to institute legal action against user to enforce these TaC or for any other violations of provincial and/or federal law not specifically enunciated herein, user expressly agrees to bear any, and all costs associated with such action, including but not limited to actual attorney fees and all judiciary and extrajudicial expenses and disbursements incurred by Wave Cargos.

TERMINATION

You may request that we delete your account. You also agree that Wave Cargos may, without prior notice, immediately terminate your account and access to the Service for cause including, but not be limited to:

  1. Breaches or violations of the TaC or other incorporated agreements or guidelines.
  2. Requests by law enforcement or other government agencies.
  3. Unexpected technical or security issues or problems; and
  4. Extended periods of inactivity.

Termination of your Wave Cargo-DMS account may include:

  1. Removal of access to all offerings within the Service;
  2. Deletion of all related information, files and content associated with or inside your account (or any part thereof); and
  3. Barring further use of the Service.

Further, you agree that all terminations for cause shall be made in Wave Cargos sole discretion and that we shall not be liable to you or any third-party for any termination of your account or access to the Service.

PROPRIETARY RIGHTS

You acknowledge and agree that the Service and any necessary software used in connection with the Service (“Software”) contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Wave Cargos or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

DISCLAIMER OF WARRANTY/LIMITATION OF LIABILITY

Wave Cargos does not give any applicable warranty or guarantee. While we make reasonable efforts to post accurate and timely information, we make no representations or warranties of the accuracy of content and assume no liability or responsibility for inaccuracies, errors, or omissions in such content. The information and data are provided on an “as-is” and “as-available” basis without warranty or condition of any kind or nature, either express or implied. Wave Cargos specifically disclaims the implied warranties of title, fitness for a particular purpose, merchantability, and non-infringement. In no event shall we be liable for lost profits or any special, incidental or consequential damages (including, without limitation, indirect, special, punitive, or exemplary damages for loss of business, loss of profits, business interruption, or loss of business information or data) however arising, including negligence, arising out of or in connection with this agreement and/or subscriber’s use of the site. Wave Cargos accepts no responsibility or liability for any use of the data and/or information, or reliance placed upon said data and/or information. We make no warranties that said data and/or information is free of infection by computer viruses or other contamination. Wave Cargos does not endorse or in any respect warrant any third-party products or services by virtue of any information, material or content referred to or included on or linked from or to this site. We aggregate liability with respect to its obligations under this agreement or otherwise with respect to the service. Some states/provinces do not allow the limitation of liability, so the foregoing limitation may not apply to you.

GENERAL INFORMATION

The TaC constitute the entire agreement between you and Wave Cargos and govern your use of the Service, superseding any prior agreements (oral, written, or electronic) between you and Wave Cargos. You also may be subject to additional terms and conditions that may apply when you use our services, affiliate services, third-party content or third-party software. The failure of Wave Cargos to exercise or enforce any right or provision of the TaC shall not constitute a waiver of such right or provision. If any provision of the TaC is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the TaC remain in full force and effect. You acknowledge that by registering with us, submitting information to us for posting or any other purposes or using the Service, no fiduciary, confidential, contractually implied or other relationship is created between you and Wave Cargos other than the express contractual relationship set forth in these TaC. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TaC must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the TaC are for convenience only and have no legal or contractual effect.
